Terms of Service (B2B)

1  Scope & Audience

These Terms govern all services offered by Task Genie to business customers (§ 14 BGB) only. Consumers (§ 13 BGB) may not purchase our services.

 

2  Services

  • Run My Shop — operational back‑office support

  • Know My Numbers — analytics, dashboards, Excel automation

  • Grow My Sales — marketing, CRO, website & funnel optimisation

3  Engagement Workflow

  1. Discovery Call (non‑binding)

  2. Pilot Week — trial tasks

  3. Contract — monthly retainer, task‑pack, or annual agreement

4  Fees & Payment

Invoices issued every 14 days; payable within 14 days by bank transfer, PayPal, or credit card.
Late payments accrue statutory default interest 9 percentage points above ECB base rate plus €40 collection fee (§ 288 BGB).

 

5  Cancellations

  • Monthly contracts: 14 days’ notice to month‑end.

  • Annual contracts: 1 month before renewal date.

  • Task‑packs: non‑refundable once work has started.

6  Client Obligations

Provide timely access, lawful data, and refrain from abusive or illegal content. Compliance with EU law is required.

 

7  Confidentiality

Both parties shall keep confidential information secret for five (5) years beyond the end of the contract, except where disclosure is required by law.

 

8  Intellectual Property

Task Genie retains ownership of methods and templates. Client receives a perpetual, non‑exclusive licence to use deliverables internally.

 

9  Liability

Task Genie is liable for intent and gross negligence. For slight negligence, liability is limited to breach of cardinal obligations and capped at the total fees paid in the preceding 12 months. No liability for indirect or consequential damages.

 

10  Force Majeure

Neither party is liable for delays caused by events beyond reasonable control (e.g. natural disasters, strikes, internet outages). Obligations are suspended for the duration of such events.

 

11  Modifications to Terms

We may amend these Terms. Changes take effect 30 days after written notice (e‑mail). Continued use constitutes acceptance.

 

12  Governing Law & Jurisdiction

German law applies. Exclusive venue is the competent court of Itzehoe, Schleswig‑Holstein.
